One of the greatest challenges for startups, early-stage companies, and real estate syndications is raising capital. The Jumpstart Our Business Startups (JOBS) Act of 2012 dramatically changed securities laws pertaining to securities private placements. This May 16, 2016, will mark securities law history as the day entrepreneurs gained unprecedented access to capital to finance their business ventures and startups pursuant to Title III of the JOBS Act. On that day, for the first time since Congress began regulating investments under the Securities Act of 1933, companies will be able to raise capital from the public without registration with the Securities and Exchange Commission ("SEC").
