New Hampshire isn’t just the hometown of Presidential politics, it’s the anchor of Gabby Napolitano’s life. But what is unsuspecting about Gabby and her hometown is her story of homelessness. An uncomfortable but defining story, Gabby spent a portion of her life, at the age of 8, in a homeless shelter with her mother. It was an experience that has played a role in shaping virtually every aspect of her adult self, including a deeply ingrained work ethic that she applies daily in the service of the clients she represents. Whether it be a NASDAQ listed company raising millions of dollars in a registered offering or a brand new start up preparing for the seemingly daunting task of becoming a public company, Gabby’s availability as a resource to her clients is of the utmost importance to her.
New York City is not the natural landing place of a person who spent their formative years in the quiet of a small New Hampshire city. But NYC played its own special role in Gabby’s journey long before her days as a full-time city dweller: first as the home of Columbia University where Gabby spoke during a session held at a scholastic journalism conference on an article she had written for the high school newspaper on her experience with homelessness; later, as Columbia became a rival to her Ivy League alma mater, Brown University; and finally, as she attended Columbia Law School.
The full circle moment in Gabby’s journey occurred when she was asked to speak at her Columbia Law School graduation. The topic she spoke about? The importance of each of her classmates embracing the challenges they have faced and reflecting in times of triumph on exactly how far they have come. For Gabby in particular, that reflection was embodied by the 8 year old version of herself, who in her estimation, would be very proud indeed.
Ms. Napolitano is an associate in the New York office. Her practice primarily focuses on SEC compliance, securities transactions and mergers and acquisitions, as well as general corporate governance.
Ms. Napolitano has particular experience in assisting clients with a wide variety of corporate transactions, including IPOs, PIPEs, bridge loan financings, reverse mergers, share exchanges and asset purchases.
In addition, Ms. Napolitano’s expertise includes providing clients with assistance in the full range of their corporate governance and securities compliance needs, from ’33 and ’34 Act compliance to proxy filings; FINRA compliance to the lifting of DTC chills; and other related regulatory and corporate governance requirements.
