Daniel Cousineau is a member of MSK's Tax and Trusts & Estates Department and its Hiring Committee. He specializes in tax services related to domestic and international mergers and acquisitions (“M&A”), including reorganizations, joint ventures, divestitures, and debt restructurings. He also has extensive experience with drafting partnership and limited liability company operating agreements for funds, real estate ventures, and artists in the entertainment industry, as well as experience with the structuring and taxation of executive compensation and profit sharing related matters.

Advises strategic and private equity clients on transaction structuring, purchase agreement considerations, and executive compensation planning.

• Represented FOXO Technologies Inc., a technology company applying epigenetic science and AI to modernize the life insurance industry, in their merger with special purpose acquisition company (SPAC) Delwinds Acquisition Corp. FOXO is now publicly traded on the NYSE under ticker symbol ‘FOXO.'
