Set amongst 440,000 acres of Mendocino Redwood Company’s sprawling property strolls Cody, a mixed-breed rescue dog. Soaking up the smells of beautiful forestlands along the north coast of California, he makes his daily trek turning over pine cones and chasing an occasional squirrel. Always ambling close by is Cody’s owner, Mary Ann Sapone. After years of city dwelling, this born and bred “country” girl finds comfort and solace amongst the great redwood forest. Having grown up on a farm in rural Pennsylvania with orchards, horses, and cows, it should come as no shock that Mary Ann returned to her rural roots with a move to Mendocino County a decade ago when her husband retired.
Thousands of miles away from the hustle and bustle of New York City, the financial capital of the world and where you would commonly find someone who practices corporate securities law, Mary Ann resolutely toils away for her clients from the comfort of her home. The idyllic setting in Mendocino is where she thrives in dissecting complex SEC rules. The combination of fresh air, lack of distraction, and incredible grasp of corporate securities make Mary Ann a sought after counselor by her public company clients.
There’s no telling what adventures await Mary Ann next. As she likes to mention that her husband “shakes things up every 10 years”, they are just about due for a change in venue. You just might find her working on the next S-1 on the shores of a tropical beach.
Ms. Sapone is Of Counsel in the Los Angeles office. Her practice is primarily focused on assisting clients in complying with federal securities laws, including the preparation and filing of reports required by sections 13 and 15 (d) of the Securities Exchange Act of 1934, proxy materials and tender offer documents. Ms. Sapone also counsels clients with the preparation of the documentation required for mergers, acquisitions and other corporate transactions.
